Sawai Group's business activities require the provision of resources from various stakeholders in society, including customers, business partners, employees, shareholders, and local communities, and in order for the Group to achieve sustainable growth and increase its corporate value, society as a whole, including its stakeholders, must be sustainable.

Given that sustainability can be achieved only through initiatives that cover a wide range of areas, including the environment, society, governance, risk management, and cybersecurity, we have established various theme-focused specialized committees that mainly comprise representatives from Group companies: the Group Sustainability Committee, the Group Risk Management Committee, the Group Compliance Committee, and the Group Information Security Committee. Supervised by the Board of Directors, these committees discuss and consider sustainability-related issues.

Sustainability Promotion Structure

Group Sustainability Committee

The Committee is chaired by the Group Chief Sustainability Officer. The Committee members consist of the chief officers of each division, as well as representatives from each group company, and the meeting is held four times a year in principle.

The Committee is responsible for the following matters:

  1. To deliberate and decide on the Group's basic policy on sustainability
  2. To establish and develop a structure for promoting sustainability, and support the establishment and development of a structure for promoting sustainability at each Group company
  3. To receive and deliberate reports and proposals from Group companies on the status of their sustainability initiatives
  4. To receive reports or proposals from the Sustainability Promotion Team (hereinafter referred to as the "Promotion Team") or the secretariat, and to deliberate and approve such reports or proposals
  5. Making proposals and reports on sustainability-related matters to the Group Governance Council or the Board of Directors
  6. Deliberating and reporting on matters related to sustainability that are raised by the Group Governance Council or the Board of Directors
  7. Sharing useful information on sustainability trends and good practices of other companies
  8. Making decisions on other matters necessary for the promotion of sustainability

Promotion Teams

Three teams were established as a subordinate organization of the Committee to carry out practical initiatives; they consist of Environment; Society and Governance; and members from each Group company.

The duties of the Teams are as follows:

  1. To formulate an annual activity plan based on the Group-wide basic policy on sustainability, and report the progress and results of the annual activities to the Committee
  2. Investigating, reviewing, and reporting on matters related to sustainability consulted by the Committee
  3. Making proposals and reports to the Committee
  4. Other matters necessary for the promotion of sustainability

Secretariat

It is composed of members from related divisions and has the following duties:

  1. Assisting the Committee by convening meetings and taking minnutes of committee meetings
  2. Dissemination of information on sustainability internally and externally, including preparation of the Integrated Report and website on sustainability
  3. Supporting the Promotion Teams

Involvement of the Board of Directors

In recognition of the promotion of sustainability as one of its key management issue, the Sawai Group has its Board of Directors approve the Group’s sustainability policies and strategies and supervise the appropriateness of the Group’s sustainability disclosures.

The Board of Directors also supervises the appropriateness of material issues by reviewing important matters, such as the Group’s policies on and specific approaches to risks and opportunities, relevant indicators, and progress.

Sustainability awareness activities among employees

To ensure that all employees understand the significance of sustainability promotion and work together to solve social issues through business activities, the Sawai Group conducts various activities with the aim of promoting sustainability throughout the company, such as sending regular communications, and has adopted the promotion of sustainability as a theme for M1 Club Activities, departmental improvement activities in the Group. We therefore create opportunities for employees to become better aware of sustainability.
